Terms of Service
These Terms of Service govern your access to and use of MYACHT — the yacht operations and maintenance platform — provided by FRANCISCO GARRIDO PAULO - UNIPESSOAL LDA.

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
1. The Service
MYACHT provides software for yacht operations and maintenance management, including planned maintenance scheduling, defect tracking, inventory management, and technical documentation. The Service is provided as a Software-as-a-Service (SaaS) platform with offline-first capability for use on vessels.
The Service is intended for use by professional maritime users — including captains, engineers, technical managers, yacht owners, and yacht management companies.
2. Eligibility
You must be at least 18 years old and legally capable of entering into a binding contract. By using the Service, you represent that you meet these requirements.
3. Accounts
3.1 Account creation
To use the Service, you must create an account or be granted access by an authorized account administrator (e.g., your vessel's technical manager or yacht management company).
3.2 Account security
You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us immediately at security@myachtsystems.com if you suspect unauthorized access.
3.3 Account information
You agree to provide accurate, current, and complete information when creating your account and to update such information as needed.
4. Subscription and payment
4.1 B2B subscriptions
Access to the Service is provided under subscription agreements between MYACHT and yacht management companies, vessel owners, or other corporate subscribers. Pricing and terms of each subscription are set out in a separate agreement or order form.
4.2 Payment
Subscription fees are payable as set out in your subscription agreement. Late payment may result in suspension of the Service after reasonable notice.
4.3 Taxes
Subscription fees do not include applicable taxes (such as Portuguese IVA), which will be added to the invoice as required by law. EU B2B customers with a valid VAT number may be subject to reverse-charge VAT under Article 196 of the VAT Directive.
4.4 Refunds
Subscription fees are non-refundable except where required by applicable consumer protection law or expressly set out in your subscription agreement.
5. Acceptable use
You agree not to:
- Use the Service in any way that violates applicable law or regulation
- Reverse engineer, decompile, or attempt to extract the source code of the Service except as permitted by law
- Interfere with or disrupt the integrity or performance of the Service
- Attempt to gain unauthorized access to the Service or its related systems
- Use the Service to transmit malware, viruses, or harmful code
- Resell, sublicense, or redistribute the Service without our written consent
- Use the Service to store or transmit content that is unlawful, defamatory, or infringing on third-party rights
6. Intellectual property
6.1 Our IP
The Service and all underlying technology, software, designs, logos, and content are the property of MYACHT or our licensors and are protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service in accordance with these Terms.
6.2 Your content
You retain ownership of the data you upload to the Service (“Your Content”). You grant us a limited, worldwide, royalty-free license to host, store, transmit, and process Your Content solely as necessary to provide the Service to you.
You represent that you have the necessary rights to upload Your Content and that doing so does not violate any third-party rights or applicable law.
7. Data and privacy
Our processing of personal data is governed by our Privacy Policy, which is incorporated into these Terms by reference.
You are responsible for the lawful collection, use, and storage of crew personal data within the Service. Where you act as a data controller for crew data, you are responsible for ensuring your collection and use of that data complies with applicable data protection laws, including obtaining any necessary consents from crew members.
8. Service availability
We strive to provide a reliable Service but do not guarantee uninterrupted availability. Maintenance, updates, internet connectivity issues, or factors beyond our control may cause temporary interruptions.
The MYACHT Service is designed to operate offline. You are responsible for ensuring on-vessel infrastructure (devices, local server) is maintained in working order and that synchronization is performed when connectivity allows.
9. Important disclaimers
9.1 Safety-critical use
MYACHT IS A MANAGEMENT TOOL FOR PLANNED MAINTENANCE AND OPERATIONAL RECORDS. IT IS NOT A SUBSTITUTE FOR PROFESSIONAL JUDGMENT, REGULATORY COMPLIANCE PROCESSES, CLASSIFICATION SOCIETY REQUIREMENTS, OR ANY MARITIME SAFETY OBLIGATIONS.
Decisions regarding vessel safety, equipment condition, voyage suitability, regulatory compliance, and crew certification status must be made by qualified professionals using their own judgment. MYACHT does not certify, audit, or guarantee the accuracy or completeness of data entered by users.
9.2 No warranty
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT, EXCEPT AS REQUIRED BY APPLICABLE LAW.
We do not warrant that the Service will be error-free, secure, or available at any particular time.
10. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL MYACHT OR ITS DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR:
- Indirect, incidental, special, or consequential damages
- Loss of profits, revenue, or data
- Business interruption
- Damages arising from safety-critical decisions made by users in reliance on data stored in the Service
OUR AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS WILL NOT EXCEED THE FEES PAID BY YOU TO MYACHT IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
Nothing in these Terms limits liability that cannot be limited under applicable law (e.g., gross negligence or willful misconduct).
11. Indemnification
You agree to indemnify and hold MYACHT harmless from claims, damages, or expenses (including reasonable legal fees) arising from:
- Your breach of these Terms
- Your unlawful use of the Service
- Your Content (including any infringement of third-party rights)
- Your failure to comply with applicable data protection or maritime regulations
12. Termination
12.1 By you
You may terminate your account at any time by contacting support@myachtsystems.com or following the in-app cancellation process (where available). Termination does not entitle you to a refund of pre-paid fees except as set out in your subscription agreement.
12.2 By us
We may suspend or terminate your access to the Service immediately if you breach these Terms, fail to pay subscription fees after reasonable notice, or use the Service in a manner we reasonably believe poses a security or legal risk.
12.3 Effect of termination
On termination, your right to use the Service ends. You may request export of Your Content within 30 days of termination, after which we may delete it as set out in our Privacy Policy.
13. Changes to the Service and Terms
We may update the Service and these Terms from time to time. Material changes will be notified to you via email or in-app notification, and the “Last updated” date above will be revised. Continued use of the Service after the effective date of changes constitutes acceptance.
14. Governing law and jurisdiction
These Terms are governed by the laws of Portugal. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of the Comarca de Lisboa, Portugal, except where mandatory consumer protection law in your country of residence applies.
15. General
15.1 Entire agreement
These Terms, together with the Privacy Policy and any subscription agreement, constitute the entire agreement between you and MYACHT regarding the Service.
15.2 Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions remain in full force and effect.
15.3 No waiver
Our failure to enforce any provision of these Terms is not a waiver of our right to enforce it later.
15.4 Assignment
You may not assign your rights under these Terms without our prior written consent. We may assign our rights as part of a merger, acquisition, or sale of substantially all of our assets.
15.5 Force majeure
Neither party is liable for delay or failure to perform due to causes beyond reasonable control (e.g., natural disasters, war, government action, infrastructure outages).
